By accessing or using Web2Figma (the "Service"), including our website (Web2Figma.com), browser extension, and Figma plugin, you agree to be bound by these Terms and Conditions ("Terms"). The Service is owned and operated by Neural Vector Labs LLC ("Company", "we", "us", or "our"), a Wyoming limited liability company located at 30 N Gould St Ste R, Sheridan, WY 82801. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Web2Figma provides software tools that allow users to capture live web pages from their browser and convert them into editable design files within Figma. The Service is provided through a browser extension, a cloud-based conversion service, and a Figma plugin.

3. User Accounts and Subscriptions

To use certain features of the Service, you must register for an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We offer both free and paid subscription tiers. We reserve the right to modify, suspend, or terminate accounts or subscription tiers at any time, with or without notice, for any reason.

4. Acceptable Use and Restrictions

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for the web pages and content you capture using the Service. You must not use the Service to:

  • Capture proprietary, copyrighted, or restricted content that you do not have the legal right or authorization to access, copy, or reproduce.

5. Intellectual Property Rights

The Service, including its software, browser extension, Figma plugin, design, text, graphics, and logos, is the property of Neural Vector Labs LLC and is protected by copyright, trademark, and other intellectual property laws.

You retain any intellectual property rights in the web pages you capture, subject to you having the necessary rights to capture and convert such pages. By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to process and transmit your captured content solely for the purpose of providing and improving the Service.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NEURAL VECTOR LABS LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT THE CONVERTED FIGMA DESIGNS WILL BE PERFECTLY ACCURATE OR COMPATIBLE.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEURAL VECTOR LABS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, ARISING FROM YOUR ACCESS TO OR USE OF THE SERVICE.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Wyoming.
